Payment is required in advance of any reports or other research being made available to the customer, or otherwise at the sole discretion of IDTechEx.

 

Where an order is made online via IDTechEx's website, these terms and conditions are deemed to be accepted by placing the order. Where an order has not been made online via the website, the attached invoice constitutes an offer by IDTechEx to supply services in accordance with the invoice and these terms and conditions. The offer shall only be deemed to be accepted upon payment of the invoice, at which point the contract will come in to existence. These terms and conditions apply to the exclusion of any other terms that the customer seeks to impose or incorporate, or which are implied by law, trade custom, practice or course of dealing. These IDTechEx terms and conditions may not be changed except as provided herein in a writing signed by purchaser and IDTechEx. No purchase order or any other standardized business form issued by purchaser/customer, even if such purchase order or other standardized business form provides that it takes precedence over any other agreement between the parties, shall be effective to contradict, modify, add to or delete from the terms of these terms and conditions in any manner whatsoever and all such purchaser terms are hereby objected to and rejected. Any acknowledgment, in any form, of any such purchaser/customer purchase order or standardized business form is not recognized as a subsequent writing and will not act as acceptance of such purchaser terms.

 

Credit/debit card payments taken online are processed in the UK. Some card issuers may charge a Cross Border or Exchange Fee if not based in the UK. Please check with your card company if any fees may be incurred. This is outside the control of IDTechEx and charges can vary between issuers.

 

Please do not send card details by email, IDTechEx cannot guarantee security of this and will not be held responsible for any fraud or identify theft.

 

IDTechEx reserves the right to refuse orders. In such cases, the full amount paid (if any) will be refunded.

 

Only one promotional code may be used per purchase.

 

Materials supplied, whether conference proceedings, reports or otherwise are for the sole use of the person who ordered them, and where explicitly stated, for more users if multiple licenses have been purchased. They must not be made available to other people or organizations without purchase of the appropriate license or the written permission of IDTechEx. These terms and conditions (together with any Business Intelligence Subscription proposal, Consultancy Contract or Non-Disclosure agreement issued by IDTechEx) constitute the entire agreement between the parties and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter. The purchaser acknowledges that in making its purchase it does not rely on, and shall have no remedies in respect of, any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these terms and conditions. All implied terms are excluded to the fullest extent permitted.

 

Nothing in these terms and conditions limits any liability which cannot legally be limited.

 

These terms and conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by, and construed in accordance with the law of England and Wales. IDTechEx and the purchaser each irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

 

IDTechEx does not offer investment or financial advice and nothing in any product or service provided by IDTechEx should be construed as investment or financial advice. IDTechEx provides information and education only and this should not be read as a recommendation to invest in any product, technology or entity.

 

Due to the nature of information contained in our reports, they are non refundable once accessed by any user. For printed reports, the point of access is considered the receipt of delivery of the product to the customer's address by the courier. Access to reports and/or subscriptions is provided once payment has been received. Access to electronic reports and subscriptions is confirmed via email and usually enabled within one business day of receiving payment. Where a printed(hard) copy of a report has been ordered, the fee is inclusive of postage costs. The purchaser is solely responsible and liable for any customs formalities or import taxes when a printed report is sent to the purchaser. Printed copies of research reports are usually dispatched by premium postage or courier within one week of receiving payment.

 

Where offered, analyst time must be used by the purchasing organization within 3 months of purchasing the report or it expires. Please email research@idtechex.com to use your analyst time.

 

IDTechEx is the sole and exclusive owner of all copyrights, including but not limited to the textual and graphic content and the organization, layout, and display of the information and data contained and provided in our reports and through the Subscription Service, including any documents, databases, or inquiry responses produced by IDTechEx.

 

Access to reports/subscriptions (physical or electronic) is only permitted to the named designated users and may not be further copied or distributed. Designated users are not permitted to resell, distribute, disseminate, disclose, copy, or otherwise use any of the information contained in IDTechEx reports or subscriptions to persons inside or outside of the organization that has acquired the license to access the content. You may briefly summarize the IDTechEx research in your own words for your project team or senior-level decision makers. In no case may information be distributed outside the designated users' organization, or used with, or provided to, any external clients, consultants, or suppliers, unless specifically authorized in writing by IDTechEx. IDTechEx has used its best efforts and judgment to ensure to the best of its ability that the information, analysis, data, and opinions (the "Content") contained in IDTechEx reports, the Market Intelligence Portal, and any other documents and databases provided as part of the Subscription Service is accurate. However, the industry information covered by IDTechEx is subject to rapid change. In any event, IDTechEx makes no representations or warranties express or implied, concerning or relating to the accuracy of the Content.

 

IDTechEx shall not be liable in contract, tort (including negligence), breach of statutory duty, or otherwise: (i) in relation to claims concerning the Content in whichever way the Content has been used by the Client; or (ii) for any loss of profits or savings, loss of contracts, loss of use of facilities or equipment, loss of data or software, or indirect, incidental, special, punitive, or consequential loss.

 

IDTechEx's total liability to the purchaser including liability in contract, tort (including negligence), breach of statutory duty, or otherwise shall not exceed the total subscription price that the purchaser has paid to IDTechEx. Nothing in these terms and conditions limits the liability of IDTechEx for fraud, or death or personal injury caused by IDTechEx’s negligence.

 

The following applies to attendees only - sponsorship and exhibitor customers are subject to different terms and conditions as detailed in those contracts of engagement.

 

Only exhibitors have the right to sell products from their booth at this event. We respectfully ask that there must be no soliciting by attendees to exhibitors. Any attendee to the event may not put out promotional materials for general collection without the written consent of IDTechEx. Attendees may not promote or publicise events without the written consent of IDTechEx. Please contact sales@idtechex.com for requests of this nature

 

Hotel and travel costs are not included in the conference fees. Substitutions may be allowed at any time, but please let us know. Cancellations made in writing to sales@idtechex.com more than 28 days before the event will incur a 15% cancellation fee. If the cancellation is made within 28 days of the first day of the event the full registration fee applies.

 

IDTechEx reserves the right to alter the location, date or content of the event. In any case where the customer cancels or where the event is postponed or cancelled, the event organisers are not liable for any related costs (such as travel) to exhibitors or attendees. IDTechEx reserves the right to deny admission to any aspect of our events for legitimate business reasons.

 

Benefits of attending an event (such as access to electronic copies of the presentations) are solely for the benefit of the attendee and must not be shared or distributed to anyone else.

 

Only one promotional code may be used per purchase. To obtain discounted/early bird prices your invoice must be paid within 30 days of the invoice date or five days prior to the event, whichever is due first. Any discounted orders unpaid within five days of the first day of the event will revert to the full advertised price.

 

 

Marketing Services include sponsoring webinars, accessing contacts who attend IDTechEx webinars, IDTechEx introductory services and journal advertisement and email opportunities.

 

Where applicable, data will be distributed, contacts provided and articles released only after payment has been received for the service. The service is non refundable and must be paid in full before provision of the service.

 

When purchasing webinar contact details the purchaser (the entity purchasing the service from IDTechEx) accepts that data may contain gone-aways, dead and wrong numbers, email bounce backs and inaccuracies. The purchaser accepts that no guarantees are offered for response or contact.

 

Details will be provided online with a password provided to access the data. IDTechEx maintains no control over data once it is downloaded from the website, and so shall have no liability for it after this point.

 

The data should be used by the purchaser where the purchaser provides products or services that match the known topics of interest of each contact.

 

Data provided to the purchaser must not be shared to any other party and may only be used by the purchaser.

 

All data records supplied have permission for third party marketing by the contact method by which they were originally obtained. The data is supplied however on the strict understanding that end user(s) of any data must themselves take responsibility for ensuring their use is compliant with all legal requirements, regulations and relevant codes of practice including, but not limited to, the ICO, MOJ/FCA, GDPR, PECR & DPA Regulations and all EU Directives and other European regulations and standards.

 

IDTechEx shall not be liable for any claims, damages or costs of whatever nature whether in terms of loss of profit or consequential or other losses which may arise directly or indirectly as a result of any breach under these regulations and it is agreed that this limitation is entirely reasonable in all the circumstances.

 

In accordance with the GDPR, the purchaser acknowledges and agrees that it will function as a Data Controller in respect of these terms. The purchaser alone will be responsible for determining the purposes and means of the processing of the personal data to which these terms relate, and will operate independently from, and therefore without direction or instruction from IDTechEx as to the purposes and/or means of processing that data provided that the terms here are adhered to.

 

For IDTechEx introductory services, IDTechEx make no guarantee that targets specified by the purchaser will elect to be introduced to the purchaser.

 

Where articles and images are provided for inclusion in journal emails and websites these will remain the sole property of the customer (with IDTechEx being able to use these without charge) and as such IDTechEx will not be liable in contract, tort (including negligence), breach of statutory duty, or otherwise:

 

IDTechEx's total liability to the purchaser including liability in contract, tort (including negligence), breach of statutory duty, or otherwise shall not exceed the total purchase price it has paid to IDTechEx.

 

All fees payable with respect to the services supplied by IDTechEx, as displayed on our website or negotiated separately, are exclusive of VAT, GST or other applicable taxes. VAT, GST or other applicable taxes are additional and will be charged where applicable. Purchaser agrees to pay all applicable additional taxes. In the event you are unable to provide a VAT or GST number or local equivalent at the time of placing an order for any of the services which IDTechEx provides, please contact us at sales@idtechex.com.

 

For orders with ID TECHEX LIMITED: Under some circumstances whether or not VAT is chargeable depends on where certain services are being used and accessed by the purchaser. Should IDTechEx become aware these services are being used in the UK, it reserves the right to charge VAT with respect to that element, even when its services are being supplied to parties established outside the UK. The purchaser agrees to pay such appropriate VAT at any time upon demand by IDTechEx.

 

For orders with ID TECHEX LIMITED: For report purchases from our e-store (website): IDTechEx is reliant on you (the purchaser) to provide accurate details during the e-store checkout process, including company name, address, and VAT number. IDTechEx will assume, unless you advise otherwise, that the users who have access rights to the reports being ordered, will download the reports in the same jurisdiction as that in which your company is incorporated. IDTechEx will assume, unless you advise otherwise, that your organisation is in business and undertakes economic activities. IDTechEx will assume that it is supplying the establishment of your organisation which is located in the country in which you have indicated the organisation is based.
